Welcome to SaltVaults ("Company", "we", "our", "us")! These Terms of Service ("Terms") govern your use of our website located at saltvaults.com (the "Site") and our related services (collectively, the "Service"). Please read these Terms carefully before using our Service.

1. Agreement to Terms

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. We reserve the right to terminate or suspend accounts that violate these Terms.

3. The Service

Our Service provides a marketplace platform for medical professionals and organizations to connect for locum tenens and temporary coverage opportunities. We act as a neutral venue for users to connect. We are not involved in the actual transactions or agreements between users and are not a party to any agreement you may enter into with another user.

4. Fees and Payments

Individual Professionals: A non-refundable annual verification fee is required to access the platform. This fee covers the cost of verifying professional credentials.

Organizations: Organizations are subject to a recurring subscription fee based on the selected tier and number of user seats. By signing up for a subscription, you agree to pay the specified fees, which will be billed on a recurring basis. You may manage your subscription and billing information through your organization's billing page.

Post Credits: Posting a coverage need requires "Post Credits," which can be purchased on the platform. Credits are deducted based on the duration of the posted need. All purchases of Post Credits are final and non-refundable.

All payments are processed through our third-party payment processor, Stripe. We do not store your credit card details.

5. User-Generated Content

You are solely responsible for the content you post, including coverage needs, messages, and reviews ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content in connection with the Service. You agree not to post content that is illegal, obscene, defamatory, or infringes on intellectual property rights. We reserve the right, but not the obligation, to remove or edit User Content that violates these Terms.

6. Prohibited Conduct

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Engage in any fraudulent, abusive, or illegal activity.
  • Harass, threaten, or defame any person or entity.
  • Infringe on the intellectual property rights of others.
  • Distribute spam, chain letters, or pyramid schemes.

7. Limitation of Liability

To the fullest extent permitted by law, in no event will SaltVaults, its affiliates, directors, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or other intangible losses, resulting from your use of the Service or any conduct of any third party on the Service. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

8. Governing Law

These Terms shall be governed by the laws of the State of KY, United States, without regard to its conflict of law provisions.
